1. Acceptance of Terms

By accessing and using the AlgoTroves website, platform, and autobrokerage services ("Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). AlgoTroves ("Company," "we," "us," or "our") is a multi-asset autobrokerage platform that executes automated trading strategies using proprietary algorithms across equities, forex, commodities, and cryptocurrencies. If you do not agree to these Terms, you are not authorized to access or use our Services. We reserve the right to modify these Terms at any time, with material changes provided via email notification. Your continued use of the Services after modifications constitutes acceptance of the revised Terms.

2. Eligibility and Account Requirements

To use our Services, you must be at least 18 years of age and a legal resident of a jurisdiction where autobrokerage trading services are permitted. You represent and warrant that you have the legal capacity to enter into this agreement and that your use of the Services complies with all applicable local, state, national, and international laws and regulations. You are solely responsible for verifying that algorithmic trading and spread-compensation models are legal in your jurisdiction.

2.1 Account Registration

To access our autobrokerage platform, you must create an account by providing accurate, complete, and current information. This includes your legal name, email address, phone number, residential address, date of birth, tax identification number, and identity verification documents (government-issued ID, proof of address). You agree to maintain the confidentiality of your login credentials and are solely responsible for all account activity under your credentials. You must notify us immediately of any unauthorized access or suspicious activity.

2.2 Verification and Compliance

AlgoTroves is required by law to verify your identity and conduct Know Your Customer (KYC) and Anti-Money Laundering (AML) compliance checks before you can trade. You agree to provide all necessary documentation and information for account verification. We reserve the right to suspend or terminate your account if verification cannot be completed satisfactorily or if we detect suspicious activity indicating potential money laundering, terrorism financing, or other illegal activities.

3. Autobrokerage Services

3.1 Service Description

AlgoTroves provides automated multi-asset autobrokerage services. Our proprietary algorithms execute trades on your behalf across equities, forex, commodities, and cryptocurrencies. We do not provide traditional investment advice or discretionary portfolio management—instead, we execute algorithmic trading strategies that leverage brokerage liquidity access to generate consistent returns. Our spread-compensation model means that we cover all trading spreads; these costs are built into our return structure rather than charged separately to you.

3.2 Fixed Returns Model

Our autobrokerage platform operates on a fixed returns model where users benefit from algorithmic trading execution combined with spread compensation. The fixed returns available represent the difference between brokerage-level trading costs and the pricing we offer to users. This is not a guarantee of returns, but rather a transparent model where you participate in the liquidity access typically reserved for institutional brokerage firms. Returns are subject to market conditions, algorithmic performance, asset availability, and regulatory constraints.

3.3 Spread Compensation

AlgoTroves covers all trading spreads for executed trades. Rather than charging you the full bid-ask spread that brokers typically charge, our spread compensation model internalizes these costs into our return structure. This means you benefit from institutional-level spread pricing without separate spread charges appearing on your account. Spread compensation is included in all trade executions regardless of asset class.

4. Trading Risks and Disclaimers

4.1 Algorithmic Trading Risks

Automated algorithmic trading carries specific risks you must understand:

• Algorithm Failure: Our proprietary algorithms may underperform, malfunction, or make suboptimal trading decisions due to unforeseen market conditions or data issues.
• Market Volatility: Extreme market movements, flash crashes, or gap events may result in significant losses despite our risk controls.
• Technology Risk: System failures, connectivity issues, data breaches, API errors, or platform downtime may prevent trade execution or result in unwanted trades.
• Liquidity Risk: Certain assets or trading pairs may have insufficient liquidity, preventing execution at expected prices or preventing exit from positions.
• Regulatory Risk: Changes in trading regulations, restrictions on certain assets, or government intervention may halt trading or require account modifications.
• Counterparty Risk: Our trading partners, liquidity providers, or custodial institutions may fail to meet their obligations.
• Model Risk: Historical performance does not guarantee future results. Our algorithms are based on historical data patterns that may not repeat.
• Spread Compression Risk: While we cover spreads, in extreme market conditions spreads may widen beyond our compensation model, affecting returns.

4.2 No Guarantee of Returns

AlgoTroves does not guarantee any specific returns, profit targets, or fixed-rate guarantees. While our platform operates on a fixed returns model, this represents the structure of our service, not a promise of investment returns. All trading involves risk of loss, including potential loss of principal. Past performance is not indicative of future results. Market conditions, algorithm modifications, regulatory changes, and unforeseen events may significantly impact returns at any time. You should only invest funds that you can afford to lose completely.

4.3 Acknowledgment of Risks

By using our Services, you explicitly acknowledge that you understand these risks and accept them as a condition of using our autobrokerage platform. You have read this entire Terms of Service and the Risk Disclosure Statement available on our platform. You are not relying on any representations other than those explicitly stated in these Terms.

5. Fees and Charges

5.1 Fee Structure

AlgoTroves is transparent about its fee structure. Our revenue model is based on the spread compensation mechanism—we profit from the difference between institutional-level spreads and the pricing we offer users. You do not pay separate spread fees, commission charges, or transaction fees. The fees charged to your account may include:

• Account Maintenance Fee: Monthly or annual fee for account administration (if applicable; disclosed in your account agreement).
• Withdrawal/Redemption Fee: Charges applied when you withdraw funds from your account (percentage or fixed amount, clearly disclosed).
• Inactivity Fee: Fee charged for accounts inactive for extended periods (if applicable).
• Note: Spread compensation is included in all trades—no additional spread charges are assessed to your account.

5.2 No Hidden Fees

All applicable fees are clearly disclosed in your account agreement and Terms of Service. We will notify you of any fee changes with at least 30 days' written notice via email. Continued use of the Services after notification constitutes acceptance of updated fees. You have the right to close your account before fee changes take effect if you do not accept the modifications.

6. User Conduct and Prohibited Activities

By using our Services, you agree not to engage in any of the following activities:

• Provide false, inaccurate, misleading, or incomplete information during registration or account updates.
• Use the Services for money laundering, terrorism financing, sanctions evasion, or any illegal activity.
• Attempt to gain unauthorized access to our systems, servers, or other users' accounts.
• Transmit viruses, malware, ransomware, or other harmful code to our platform.
• Engage in market manipulation, pump-and-dump schemes, spoofing, layering, or insider trading.
• Reverse engineer, decompile, disassemble, or create derivative works from our proprietary algorithms or platform code.
• Use automated bots, scrapers, or unauthorized tools to access our platform or data.
• Harass, threaten, abuse, or defame our staff, other users, or business partners.
• Share confidential platform information, algorithm details, or other proprietary data without authorization.
• Use the platform for high-frequency trading, scalping, or any strategy designed to extract spreads or exploit our execution model.

7. Intellectual Property Rights

7.1 Ownership of Platform and Algorithms

All content, features, and functionality of the AlgoTroves platform—including our proprietary algorithms, trading strategies, source code, documentation, design, logos, and brand materials—are the exclusive property of AlgoTroves or our licensors. These items are protected by international copyright, trademark, patent, and other intellectual property laws. You acknowledge that no ownership interest in our intellectual property is transferred to you through your use of the Services.

7.2 Limited User License

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the platform for personal autobrokerage trading purposes. You may not reproduce, distribute, modify, create derivative works from, or publicly display any platform content without our express written permission. Your license terminates immediately upon account suspension or termination.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALGOTROVES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, LOST REVENUES, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE TOTAL AMOUNTS YOU HAVE PAID TO ALGOTROVES IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless AlgoTroves, its officers, directors, employees, agents, and affiliates from any and all claims, damages, losses, liabilities, and expenses (including legal fees) arising from or related to:

• Your violation of these Terms of Service.
• Your violation of any applicable law or regulation.
• Your use of the autobrokerage platform or Services.
• Content or information you provide to us.
• Your infringement of any third-party rights.
• Trading decisions made through your account using our platform.

10. Account Termination

10.1 Termination by User

You may request to close your account at any time by contacting our support team. Upon termination, all open positions will be liquidated at the best available market prices. Funds will be returned to your registered bank account according to our standard processing timeline (typically 3-5 business days). All outstanding fees and charges will be deducted from your account balance before funds are returned. You remain responsible for any fees incurred up to the termination date.

10.2 Termination by AlgoTroves

We reserve the right to suspend or terminate your account immediately, with or without notice, if:

• You violate these Terms of Service or any applicable law or regulation.
• We suspect fraudulent, illegal, or suspicious activity on your account.
• Account verification or KYC/AML compliance cannot be completed satisfactorily.
• You provide false or misleading information in your account application or profile.
• We determine your account presents unacceptable risk to our platform or liquidity partners.
• Required by law, regulatory mandate, or government authority.
• You engage in market manipulation or algorithmic trading strategies designed to exploit our execution model.

10.3 Effect of Termination

Upon account termination, your right to access and use the Services ceases immediately. All open positions are liquidated. Provisions of these Terms that by their nature should survive termination will remain in effect, including intellectual property rights, limitations on liability, indemnification, dispute resolution, and governing law.

11. Dispute Resolution and Governing Law

11.1 Governing Law

These Terms of Service and all disputes related to the Services are governed by and construed in accordance with the laws of the jurisdiction in which you reside, or if applicable, the laws of the jurisdiction where AlgoTroves's services are provided. Each party waives any objection to venue and consents to jurisdiction in the arbitration forum specified in Section 11.3.

11.2 Dispute Resolution Process

Before initiating formal arbitration or legal proceedings, you agree to attempt good-faith resolution by contacting our support team at support@algotroves.com. You must provide written notice of the dispute, including a detailed description and your proposed resolution. We will respond within 14 business days.

11.3 Binding Arbitration

If the dispute cannot be resolved informally, any dispute, claim, or controversy arising from or relating to these Terms or the Services shall be resolved by binding arbitration administered by a mutually agreed arbitrator. The arbitration shall be conducted in accordance with applicable arbitration rules. Each party shall bear its own legal fees and costs unless the arbitrator determines otherwise.

11.4 Limitation Period

You agree that any claim or cause of action arising from or relating to the Services must be filed within one (1) year after the cause of action arises, or it is forever barred.

12. Regulatory Compliance and Reporting

AlgoTroves operates in compliance with all applicable securities laws, financial regulations, and industry standards. Our Services are subject to regulatory oversight by relevant financial authorities in jurisdictions where we operate. You acknowledge that:

• We are required to maintain records of all your transactions and account activity for regulatory compliance.
• We may be required to provide information about your account and trades to regulatory authorities, tax authorities, and law enforcement upon lawful request.
• We report account activities as required by KYC/AML regulations and sanctions screening requirements.
• Tax reporting forms (such as 1099 or equivalent) may be issued based on your trading activity and jurisdiction.
• You are responsible for paying any applicable taxes on your trading gains and investment returns.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR TITLE.

ALGOTROVES DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR HARMFUL COMPONENTS. WE DO NOT GUARANTEE THAT DEFECTS WILL BE CORRECTED OR THAT THE PLATFORM WILL PERFORM WITHOUT INTERRUPTION. USE OF THE SERVICES IS AT YOUR OWN RISK.

15. Entire Agreement

These Terms of Service, together with our Privacy Policy and Risk Disclosure Statement, constitute the entire agreement between you and AlgoTroves regarding your use of the Services. These Terms supersede all prior and contemporaneous agreements, understandings, proposals, and negotiations, whether written or oral. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
